CareMe Terms and Conditions

Nature & Applicability

1. This privacy policy is meant to help you understand what information we may collect from you, how your information might be used and disclosed by us and your rights regarding such information in our records.

2. This document is published in accordance with the provisions of Rule 3(1) of the Information Technology(Intermediaries Guidelines) Rules 2011 that require publishing the rules and regulations, Privacy Policy and Terms and Conditions for access or usage of the domain name [www.careme.health] (“Website”), including the related mobile site and the mobile application. For the purposes of these Terms and Conditions, wherever, the context so requires, the term “Platform” shall mean the website www.careme.health and/or its related mobile site and mobile application.

3. CareMe is owned and operated by CAREME HEALTH PRIVATE LIMITED which is a body corporate lawfully incorporated under the Companies Act 2013. These Terms and Conditions along with the Privacy Policy available at www.careme.health/privacyand any other policies of CareMe if any, together constitute a legally binding agreement between you and CAREME HEALTH PRIVATE LIMITED in connection with your usage and access to our Platform.

4. For the purposes of these Terms and Conditions, wherever the context so requires, “You”, “Your”, or “User” shall mean any person who uses or accesses our Platform whether such usage or access is for the purpose of seeking or availing services through Our Platform or a casual visit or otherwise and unless otherwise provided, the term “Service Recipient” shall mean person/s who are contractually entitled to the receipt of services or person/s seeking services from authorised service professionals through Our Platform. The term “We”, “Us”, “Our” and “CareMe” shall mean CAREME HEALTH PRIVATE LIMITED, its employees and authorised agents. The term “Authorised Healthcare Professional” shall mean counsellors, therapists, or other healthcare professionals authorised by us to engage with and/or provide services to service recipients through our Platform.

5. The usage of or/access to or/services availed within or/transactions otherwise conducted within the Platform by you or your authorised representative are governed by these Terms and Conditions and our Policies (including but not limited to Our Privacy Policy). By mere use of the Platform, you shall be contracting with CAREME HEALTH PRIVATE LIMITED and these Terms and Conditions along with our Privacy Policy constitute your binding obligations.

6. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms and Conditions and our Policies (including but not limited to Our Privacy Policy), at any time without any prior written notice to You. It is Your responsibility to review these Terms and Conditions periodically for updates / changes. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms and Conditions and our Policies (including but not limited to Our Privacy Policy), We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform.

7. Your access to and the use of our Platform will be solely at the discretion of CAREME HEALTH PRIVATE LIMITED.

8. ACCESSING, BROWSING, OR OTHERWISE USING OUR PLATFORM INDICATES YOUR AGREEMENT TO ALL THE CLAUSES UNDER THESE TERMS AND CONDITIONS AND OUR POLICIES (INCLUDING BUT NOT LIMITED TO OUR PRIVACY POLICY). IT IS THEREFORE IMPORTANT THAT YOU REVIEW THESE TERMS AND CONDITIONS CAREFULLY AND EXERCISE DUE DISCRETION BEFORE ACCESSING OR USING OUR PLATFORM. By impliedly or expressly accepting these Terms and Conditions, you also agree to be bound by CareMe’s policies (including but not limited to Our Privacy Policy) as amended from time to time.

Eligibility to avail Our services

9. Services through CareMe’s Platform are available only to natural persons who are 18 years of age or above. We reserve the right to terminate services to you through our Platform or your access to our Platform if it is brought to our notice or it is otherwise discovered that you are under the age of 18 years and are using our Platform or availing our services or are otherwise transacting on our Platform.

Use of CareMe’s Platform

10. You shall bear the sole and absolute responsibility for maintaining confidentiality of your account and password and other such credentials and for restricting access to your computer, mobile device or other such electronic device to prevent unauthorised access to your account on our Platform. You shall bear the sole and absolute responsibility for all activities that occur under your account or password and for all activities that occur on CareMe’s Platform through your computer, mobile device or other such electronic device. You should take all necessary steps to ensure that your password and other such credentials for the use or access of our Platform is kept confidential and secure and you should inform us immediately if you have any reason to believe that your password or other such credentials has become known to anyone else, or if your password or other such credentials are being used, or likely to be used in an unauthorised manner. We reserve the right to refuse access to our Platform, terminate accounts, remove or edit content at any time without notice to you.

11. You agree that if you provide any information that is untrue, inaccurate, not current, or incomplete or if We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with these Terms and Conditions, we shall have the right to indefinitely suspend or terminate or block access to your use, access or transactions in our Platform and we shall also have the right to indefinitely suspend or terminate or block or refuse your access to services through our Platform.

12. You agree, undertake and confirm that Your use of the Platform shall not violate any law for the time being in force. You shall not use our Platform in any way that causes, or is likely to cause, the Platform or access to the Platform to be interrupted, damaged or impaired in any way. You understand that you shall be solely responsible for all electronic communications and content sent to us from your computer, mobile device or other such electronic device and you shall use our Platform for lawful purposes only. You shall not use our Platform for fraudulent purposes, or in connection with a criminal offense or other unlawful activity. You shall ensure that your use of our Platform shall not cause, harm, annoyance, inconvenience, or needless anxiety to Us or to any third-party.

13. You shall not post or transmit through our Platform any material which violates or infringes the rights of others, or which is threatening, abusive, defamatory, libellous, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, contains injurious formulas, recipes, or instructions, or you shall not engage in any conduct that would constitute a criminal offence or that which encourages conduct of another that would constitute a criminal offence, or give rise to civil liability or otherwise violative of any law.

14. Subject to your compliance of these Terms and Conditions and our Policies (including but not limited to our Privacy Policy) and payment of applicable fees, if any, We grant you a limited license to access and make personal use of our Platform, but not to download or modify it, or any portion of it except with Our express consent. This license does not include any resale or commercial use of our Platform or its contents, any derivative use of our Platform or its contents, any downloading or copying of information on our Platform, or any use of data mining, robots, or similar data gathering and extraction tools.

15. The following activities are prohibited and you shall not engage in any of them:

15.1. Copying, distributing, or disclosing any part of our Platform in any medium.

15.2. Transmitting spam, chain letters or other unsolicited email.

15.3. Attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running our Platform.

15.4. Taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure.

15.5. Uploading invalid data, viruses, worms, or other software agents through our Platform.

15.6. Collecting or harvesting any information from our Platform.

15.7. Using our Platform for commercial purposes without getting our written authorisation for the same.

15.8. Impersonating another person or otherwise misrepresenting your affiliation with a person, entity, conducting fraud, hiding or attempting to hide your identity.

15.9. Interfering with the proper working of our Platform.

15.10. Accessing any content on our Platform through any technology or means other than those capabilities provided by our Platform.

15.11. Bypassing any measures we may use to prevent or restrict access to our Platform.

16. Your access to our Platform may be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice.

17. CareMe does not exercise control over third-party websites or links that may be displayed within CareMe’s Platform. Such third-party websites may place their own cookies or other files on the user’s computer, collect or solicit information for which CareMe is not responsible or liable. Accordingly, CareMe does not make any representations concerning the privacy practices or policies of such third parties or terms of use of such websites, nor does CareMe guarantee the accuracy, integrity, or quality of the information, data, text, software, sound, images, graphics, videos, messages or other materials present on such websites. CareMe in no manner endorses such third party website or its provider or the information on the same. If you decide to visit a third-party website linked to CareMe’s website or mobile application, you do so at your own risk. CareMe encourages users to peruse the Terms of use and privacy policy of any such third-party website before accessing the same.

Services through CareMe’s Platform

18. CareMe is an online platform that facilitates the offering or provision of comprehensive primary and mental healthcare services by authorised healthcare professionals to service recipients through its platform. Any user who is desirous of availing services through our Platform shall first register themselves within the Platform and to so register themselves within the Platform, such user shall comply with the registration formalities provided for within the Platform. Such registration formalities would require you to submit to us personal or sensitive personal information which include but are not limited to information such as phone number, full name, date of birth, sex, etc. We shall authenticate the phone number you have provided to Us herein by sending you a one-time password or through other means. You agree and undertake that the information so provided to Us for the registration shall be true and accurate.

19. Subsequent to the successful completion of the registration within our Platform, any user who is desirous of availing services through our Platform shall so indicate their intention or make a request for the same through the appropriate mode provided in Our Platform. By so indicating your intention or making such request to avail our services, you agree to abide by these Terms and Conditions and our Policies (including but not limited to Our Privacy Policy) and the law for the time being in force governing the provision of Our services to you through CareMe’s Platform.

20. You agree and accept that CareMe by itself is in no way providing mental health care or medical services but is only acting as a facilitator in providing the utilities of the Platform for the conduct of services between our authorised healthcare professionals and service recipients and for any purposes incidental or ancillary to the conduct of such services.

21. All authorised healthcare professionals providing services through our platform are independent professionals and are solely and individually responsible for the services they provide to you.

22. All authorised healthcare professionals providing services through our platform are neither employees nor agents of CareMe. CareMe assumes no responsibility for any act, omission of any authorised healthcare professionals providing services through our platform.

23. On becoming aware of your indication or your request to avail services through our Platform, one of our authorised healthcare professionals will set up and carry out a one-on-one Initial Assessment session with you. Unless otherwise expressly permitted by us, all sessions with our authorised healthcare professionals shall be carried out only through our Platform. The objective of this Initial Assessment session with you is for our authorised healthcare professionals to form an Initial Assessment of your situation, your circumstances and your mental health needs.

24. Pursuant to your initial one-on-one session as described above, one of CareMe’s authorised healthcare professionals shall review the Initial Assessment formed therewith. Pursuant to the review, and based on the mildness or severity of your mental health issues and needs according to the professional judgment exercised by our authorised healthcare professionals, one of CareMe’s authorised healthcare professionals shall recommend you to undergo further sessions with CareMe’s authorised healthcare professionals or he/she may recommend you to seek institutional or other aid outside our Platform. For the purposes of these Terms and Conditions, the term “Counsellor” shall mean a person holding a Master’s degree in Psychology, the term “Therapist” shall mean a person holding a M. Phil or Ph.D. degree in Psychology and the term “Psychiatrist” shall mean a person holding a recognised MBBS degree and a post graduate medical qualification in Psychiatry.

25. Where you opt to undergo sessions with our authorised healthcare professionals through our Platform, You shall make the payment for such counselling or therapy sessions, in the appropriate payment mode provided in our Platform, at the earliest possible and in all cases in advance of each session. You shall also have the option to make the payment in advance for more than one or many sessions. No sessions will be carried out by our authorised healthcare professionals if the payment for the same has not been made by you in advance of such session.

26. To avail services through CareMe’s Platform, you shall be required to share with Us, information about you or relating to you or concerning you. Such information may be personal information or sensitive person information as per law or other information which is essential in order to receive services from our authorised healthcare professionals or for us to conduct operations or transactions that are incidental or ancillary to facilitating the provision of such services or for other purposes as covered within our Privacy Policy. By indicating your intention to avail services through our Platform or by availing services through our Platform or in undergoing sessions with our authorised healthcare professionals through our Platform, you consent to our collection, use and disclosure of your information according to these Terms and Conditions and our Policies (including but not limited to Our Privacy Policy).

Session Timings and Services at CareMe Health Pvt Ltd

27.Sessions details
Eligibility for First Session Offer
• The First Session Offer is exclusively available to new customers who are availing of our services for the first time. Customers who have previously availed of any of our therapy or mental health services are not eligible for this offer, even if they are booking a session under a different service category.
Returning Customers & Use of New Contact Details
• If an existing or past customer attempts to register as a new customer by using a different phone number, email ID, or any other contact details, they will not be considered eligible for the First Session Offer. Such customers will be required to pay the difference in cost between the regular session fee and the discounted offer price before availing of the service.
Verification & Fraud Prevention
We reserve the right to verify customer details through our internal records.
• If any discrepancies or attempts to misuse the First Session Offer are identified, we may:
• Reject the booking.
• Require full payment before proceeding with the session.
• Take necessary action as per our service policies.
Individual Therapy Sessions:
Duration: Each session lasts between 40 to 45 minutes.
Scheduling: Sessions are booked based on the availability of our authorized healthcare professionals. You can schedule appointments through our mobile or web app, or by contacting our support team at +91 7829-002-002 or through the support chat on our mobile app. We ensure to communicate the timing of each session well in advance.
Couple Therapy Sessions :
Duration: Approximately 70-75 minutes per session.
Scheduling: The date and time of each session will be informed to you well in advance, ensuring that you can plan accordingly.
Psychiatric Consultations :
With a Doctor: These consultations are crucial for diagnosing and managing psychiatric conditions.
Duration: 15 to 30 minutes.
Scheduling: Just like our therapy sessions, psychiatric consultations can be scheduled through our mobile or web app, directly with our support team, and are subject to the availability of our psychiatrists.
Coach Support via Chat :
Availability: Our chat support is available 24/7, allowing you to send your queries at any time.
Response Time:Subscribers to our chat service can send queries 24/7. Responses are provided within 3-4 hours by our coaches, who are not therapists but are here to support your journey.
Subscription: We offer a range of subscription plans for our Coach Support service, from a 1-day pass to a 180-day pass, allowing you to choose the level of support that best suits your needs. To view and select from the available plans, please visit our subscription page here

Understanding Your Session Credits
At CareMe Health, we want to ensure that our session credits offer flexibility while also encouraging timely and consistent engagement in your therapy process. Here is a detailed guide on how the validity of session credits works for different services
Individual Therapy :
First Appointment: The credit for your initial appointment is valid for 3 days from the date of purchase.
Follow-up Appointments: Each follow-up session credit is valid for 10 days.
Example: If you purchase a package of 10 credits for individual therapy, the total validity for all the credits would be 100 days from the date of purchase. This means you have a span of 100 days to use your 10 session credits.
Couple Therapy
Credit Validity: Each session credit for couple therapy also has a validity of 3 days.
Example: For a purchase of 10 credits in couple therapy, the overall validity would extend to 100 days from the date of purchase, similar to individual therapy.
Psychiatric Consultations
Credit Validity: Each credit for psychiatric consultations is valid for 15 days from the date of purchase.
Example: If you buy a single credit for a psychiatric consultation, you must use it within 15 days. Similarly, multiple credits each have their own 15-day validity period from the date of their respective purchases.
Coach Support
Credit Validity: The validity of credits for coach support depends on the subscription plan you choose. Each plan clearly outlines the number of days your credits are valid, starting from the date of purchase.

28. You understand that situations may arise wherein the utilities of our Platform may not be available for our authorised healthcare professionals to carry out sessions with you or for other services through our Platform. In such situations, We shall recommend other alternate means to carry out the sessions with you or for other services. You agree, accept and undertake that in such situations, You shall bear any and all risk and consequences that may arise out of the use of such alternate means and CareMe shall bear no responsibility or liability of any and all risk and consequences that may arise out of the use of such alternate means.

29. Each session would be scheduled based on the availability of CareMe’s authorised healthcare professionals and the date and time of each scheduled session would be intimated to the service recipient in advance.

30. Where, you as a service recipient, are ready, willing and able to undergo a prescheduled session with our authorised healthcare professionals through our Platform at the appointed date and time as prescheduled, but our authorised healthcare professionals, for any reason whatsoever, are unable to fulfil their service obligations at the appointed date and time as prescheduled, then CareMe would in good faith and in consultation with you, reschedule an alternate appointment at a date and time convenient to both you and the CareMe’s authorised healthcare professionals. Where, such rescheduled appointment is also unable to be fulfilled solely due to inability of CareMe’s authorised healthcare professionals, then CareMe would issue you a refund pertaining to and proportionate to such abandoned session only. Please note that no refunds would be issued if the prescheduled or the rescheduled therapy session is not able to be carried out because you, as the service recipient, are not ready, willing and able to undergo the prescheduled or the rescheduled session as the case may be.

31. Where it becomes evident to CareMe, that a prescheduled session may not be able to be carried out at the date and time appointed for the same, due to unavailability of CareMe’s authorised healthcare professionals or for any other reason, we will inform you the same at the earliest as reasonably practicable and we would in good faith and in consultation with you, reschedule an alternate appointment at a date and time convenient to both you and CareMe’s authorised healthcare professionals.

32. Where for any reason whatsoever, you desire to reschedule an already prescheduled therapy session, you may request us for the same and we would in good faith and in consultation with you, reschedule an alternate appointment at a date and time convenient to both you and CareMe’s authorised healthcare professionals. Such requests for rescheduling a session must be made at the earliest as reasonably practicable, and not later than 24 hours before the date and time appointed for such prescheduled therapy session. Any request for rescheduling a session made beyond the time limit prescribed above, shall lead to forfeiture of the entire payment already made by you for such session and you shall also be required to make the full payment for the rescheduled session.

33. Unless otherwise provided, no services provided on CareMe’s Platform are free and all services on or through our Platform entail charges for the same. The provision of discounts for services through our Platform, if any and the extent of such discounts shall be at the sole discretion of CareMe and its authorised healthcare professionals.

34. Where or any reason whatsoever, if you as a service recipient are unavailable or unreachable for the prescheduled session, then such service recipient shall be deemed to forfeit their contractual entitlement to such missed session and any payment already made for the fulfilment of such missed session shall also be deemed to be forfeited.

35. The prescription or the non-prescription of drugs, if any, by our authorised healthcare professionals while providing services through Our Platform, shall be governed by the law in force for the time being concerning the prescription of drugs.

36. You, as a service recipient, agree that by taking or receiving services through our Platform, our authorised healthcare professionals may not be able to examine you in-person and therefore may not be able to assess or gauge certain information about you that may be better palpable in an in-person examination. You hereby acknowledge your awareness of this limitation and also assume complete risks and consequences, if any, arising out of this limitation.

37. You, as a service recipient, understand that the services provided through our Platform are not substitutes for treatments that by law or otherwise, require immediate or physical or institutional care.

38. Any act or any conduct of you or your representative, that amounts to abuse of or threat to or intimidation of our authorised healthcare professionals or other authorised employee or personnel of CareMe shall constitute breach of these Terms and Conditions and notwithstanding our rights to pursue other legal remedies against you, shall also be grounds for suspending or terminating services to you through our Platform or for suspending or blocking your access or use of our Platform.

39. If you, in any manner, engage with any of our authorised healthcare professionals or exchange money for services outside our Platform, you do so at your own risk and CareMe shall not be responsible or liable for any loss or deficiency arising out of such actions by you.

40. You agree, accept that in the course of your use or access of Our Platform or in availing services through our Platform, there may arise factual possibilities that may not be covered in sufficient detail in these Terms and Conditions or in Our Policies (including but not limited to Our Privacy Policy). In this regard, You agree, accept and undertake that if and when any of such factual possibilities not sufficiently covered in these Terms and Conditions or in Our Policies (including but not limited to Our Privacy Policy) arise or becomes a reality, the ruling or decision as to the outcome in such situations or the ruling or decision as to the rights, duties and obligations of all concerned parties in such situations shall vest solely and absolutely with CareMe and the ruling or decision of CareMe in this regard shall be final.

Payment

41. All payments must be made in advance to confirm your session bookings with CareMe Health.

42. The fee per session varies depending on the chosen psychological wellness expert.

43. While availing any of the payment method/s available on Our Platform, we will not be responsible or liable, whatsoever in respect of any loss or damage arising directly or indirectly to You due to:

• Lack of authorisation for any transaction/s, or

• Exceeding the present limit mutually agreed by You and between Bank/s, or

• Any payment issues arising out of the transaction, or

• Decline of transaction for any other reason/s

• Any other reason/s.

44. You agree and accept that all nuances and modalities relating to making of payment through virtual payment modes including but not limited to internet banking, debit cards and credit cards shall be governed by arrangements between you and the concerned bank/s. We shall not be responsible, in any manner whatsoever, for any liability that may arise in relation to virtual payment modes including but not limited to any fraudulent transactions.

45. All payments by you made against services on the Platform shall be compulsorily in Indian Rupees acceptable in the Republic of India. Our Platform will not facilitate transaction with respect to any other form of currency with respect to services availed on the Platform.

46. You understand, accept and agree that the payment facility provided by CareMe is neither a banking nor financial service but is merely a facilitator providing payment methods including electronic, automated online electronic payment, collection and remittance facility for the transactions on our Platform using the existing authorized banking infrastructure and credit card payment gateway networks. Further by providing payment facility, CareMe is neither acting as a trustee not acting in a fiduciary capacity with respect to the transactions.

47. You, as a service recipient, understand that upon initiating a transaction, You are entering into a legally binding and enforceable contract with Us to purchase the select services through our Platform using the payment facility provided by Us on Our Platform.

Cancellations and refunds

General Principle:

Refunds for any cancellations, regardless of the reason, will be calculated by removing any discounts that were applied to the session cost. This applies to all cancellations, ensuring transparency and fairness in our refund process.

48. You accept and agree that any and all refund of payments made by you for services on CareMe’s platform shall be at the sole discretion of CareMe. Regardless of the quantum of the payments made or the quantum of services booked, where requests for refunds pertaining to the cancellation of service bookings are made within 24 hours from the time of such payment, CareMe may issue you a refund of the payment made by you after deducting the transaction charges. Where requests for refunds pertaining to the cancellation of service bookings are made after 24 hours from the time of such payment, then the refunds if any, and the quantum of refunds shall be at the sole discretion of CareMe.

49. Any breach of these Terms and Conditions by you shall be grounds for terminating services made to you through our Platform and shall also be grounds to have your usage or access to our Platform blocked or suspended.

50. If you violate these Terms and Conditions, you shall forfeit any payment already made by you to CareMe and you shall also forfeit any contractual entitlement you possess to any services through our Platform.

51.Cut-Off Date for Refunds: All refund requests must be submitted within 30 days from the date of purchase of follow-up session packages.
Cancellation and Rescheduling:
Comprehensive Coverage : This policy covers all potential reasons for cancellation, including but not limited to:
Therapist Unavailability: Whether the cancellation is due to the unavailability of a therapist or any logistical challenges from our side.
Client's Decision: If you decide to cancel the session for personal reasons or changes in circumstances.
Unmet Expectations: If CareMe is unable to meet your expectations or any other dissatisfaction from the services provided.
Procedure: Our aim is to handle each cancellation with utmost consideration, ensuring that you feel supported through the process. We encourage you to communicate any concerns or reasons for cancellation as this helps us to improve our services.
By maintaining a clear and comprehensive refund policy, CareMe Health ensures that all parties understand their rights and obligations, fostering a trusting relationship with our clients.

Cancellations:
Full Refund: Available if cancellation is made more than 24 hours prior to the appointment time.
50% Cancellation Fee: If you cancel your appointment between 24 and 12 hours before the scheduled time, you will be charged a fee equal to 50% of the cost of the appointment.
100% Cancellation Fee: If you cancel less than 12 hours before the appointment, you will be charged a fee equal to 100% of the cost of the appointment.
Same-Day Bookings: For bookings made less than 24 hours before the appointment, the applicable cancellation fee is based on the time remaining to the appointment (50% if more than 12 hours left, otherwise 100%).
Rescheduling:
• Permitted once without a fee, up to 12 hours before the appointment for all the services.

Refund Calculation for Package Cancellations
When cancelling a follow-up session package, refunds are calculated based on the original per-session fee, not the discounted purchase price. This method ensures that the discount is only applied to fully utilized services. Here’s how refunds are computed when a session package is canceled after several sessions have been attended

Refund Processing:
52.Refund requests are processed within 15 working days from the receipt of the request, based on the unutilized sessions in your account.

53. Please note that the actual time for the refund amount to reflect in the user's account may vary depending on the bank's processing times..

54. Refund requests shall be made in the appropriate mode provided for the same in our Platform.

Additional Information:

• We cannot provide refunds based on the unavailability of a specific therapist. CareMe Health operates on a first-come, first-serve basis and will endeavor to provide a suitable alternative therapist if your preferred choice is not available.

• By booking a session with CareMe Health, you agree to these terms and conditions. Our goal is to provide you with quality care and support, and we appreciate your understanding and cooperation with our policies.

Intellectual property rights

55. For the purposes of these Terms and Conditions, “ CareMe’s Content” shall mean all content available or otherwise presented on our Platform. CAREME HEALTH PRIVATE LIMITED owns and retains all rights in CareMe’s content.

56. You shall not remove, alter or conceal any copyright, trademark, service mark or any other proprietary rights incorporated in or accompanying CareMe’s content and you shall not reproduce, modify, duplicate, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit CareMe’s content.

CareMe’s name and logo are trademarks of CAREME HEALTH PRIVATE LIMITED and you shall not copy, imitate or use, in whole or in part, without the prior written permission of CAREME HEALTH PRIVATE LIMITED. Further, all customised graphics, button icons and scripts are service marks, trademarks, and/or trade dress of CAREME HEALTH PRIVATE LIMITEDand you shall not copy, imitate or use, in whole or in part, without the prior written permission of CAREME HEALTH PRIVATE LIMITED.

58. If you share your content with CareMe and/or link your content to CareMe on a third party service and/or post content on any social media page owned and operated by CareMe, you expressly grant, and you represent and warrant that you have all rights necessary to grant, to CareMe a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of all such content and your name, voice, and/or likeness as contained in your content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Platform and CareMe and its successors’ and affiliates’ business, including without limitation for promoting and redistributing part or all of our Platform (and derivative works thereof) in any media formats and through any media channels. You agree that the rights you grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. You agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Us, including the execution of deeds and documents at our request.

Indemnity

59. You agree to indemnify and hold harmless CareMe, its owner, its authorised healthcare professionals, licensees, affiliates, subsidiaries, group companies and their respective directors, officers, agents, employees, authorised service professionals, from all or any claims, demands proceedings, liability, loss, actions, costs, expenses, including but not limited to attorney’s fees, court fees, made by third party or penalty imposed due to or arising out of Your breach of these Terms and Conditions and our Policies (including but not limited to our Privacy Policy), or Your violation of the law or the rights of a third party.

Dispute settlement and applicable law

60. These Terms and Conditions and our Policies (including but not limited to our Privacy Policy) shall be governed by and interpreted and construed in accordance with the laws of India.

61. ARBITRATION. Any dispute, claim or controversy arising out of or relating to these Terms and Conditions and our Policies (including but not limited to our Privacy Policy), including the determination of the scope of these Terms and Conditions and our Policies (including but not limited to our Privacy Policy) to arbitrate, or your use or access of our Platform or services through our Platform, shall be determined by arbitration in India, before a sole arbitrator appointed by CAREME HEALTH PRIVATE LIMITED. Such Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act 1996. The seat of such arbitration shall be at Chennai. All proceedings of such arbitration, including, without limitation, any awards, shall be in the English language. Such award shall be final and binding on the parties to the dispute.

62. Subject to the above arbitration clause, the Courts at Chennai shall have exclusive jurisdiction over any dispute, claim or controversy arising out of or relating to these Terms and Conditions and our Policies (including but not limited to our Privacy Policy), including the determination of the scope of these Terms and Conditions and our Policies (including but not limited to our Privacy Policy) to arbitrate, or your use or access of our Platform or services through our Platform.

63. Unless otherwise specified, the materials and services available on the Platform is presented/intended primarily for the users or service recipients in India.

Limitation of Liability

64. You acknowledge and undertake your usage of or access to our Platform and/or services or your transactions on our Platform shall be at your own risk and that you are doing so using your best and prudent judgment.

IN NO EVENT SHALL CAREME HEALTH PRIVATE LIMITED BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THESE TERMS AND CONDITIONS AND OUR POLICIES (INCLUDING BUT NOT LIMITED TO OUR PRIVACY POLICY) EVEN IF THE USER HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.

You agree and accept that our Platform is provided on an “as is” basis and you agree to bear full responsibility for any and all risks, of any kind whatsoever, should they arise as a direct or indirect consequence of your use or access of our Platform. You also agree and accept that any use or access of our Platform or any content downloaded or otherwise obtained through the use of our Platform is done so at your own risk and that We shall not be responsible or liable for any loss or damage to your computer system or mobile or other electronic device or loss of data that results from such use, access or download.

You agree and accept that in providing our Platform, We make no warranties of any kind, whether express or implied and including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement. You also agree and accept that unless otherwise provided herein, no advice or information, whether oral or written, obtained by you from CareMe or through our Platform shall create or constitute any warranties by CareMe.

You agree and accept that We do not warrant that the content found on our Platform is accurate, reliable or correct, nor do We warrant that our Platform will meet your requirements, nor do we warrant that our Platform will be uninterrupted or secure or available at any particular time or location, nor do we warrant that any defects or errors will be rectified, nor do we warrant that our Platform is free of viruses or other harmful components.

69. You agree and accept that We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third-party through our Platform and you agree that We will not be a party to or in any way monitor any transaction between you and such third-party providers of products or services.

70. We will not be responsible or liable for any delay or failure to comply with our obligations under these Terms and Conditions and our Policies (including but not limited to our Privacy Policy) if the delay or failure arises from any cause which is beyond our reasonable control.
